 CONSTITUTION
OF THE
DAVIS COUNTY AMATEUR RADIO CLUB ARTICLE I PREAMBLE - We, amateur radio operators of Utah, wishing to secure for ourselves the pleasures and benefits of the association of persons commonly interested in amateur radio, constitute ourselves the Davis County Amateur Radio Club (D.C.A.R.C) and enact this constitution as our governing law. The objectives of this organization are: promotion of interest in amateur radio communications and experimentation; to provide emergency communications to Davis County Emergency Services; education of prospective amateur radio operators; public service to the community; to promote radio knowledge; the exchange of information and cooperation between members; and to conduct club programs and activities as to advance the general interest and welfare of amateur radio in the community.
- DCARC was formed by a group of hams concerned about emergency communication services in Davis County. A group named the Davis County Emergency Radio Group, was absorbed by DCARC when it was formed and the Emergency Radio Group call sign WB7VTL was designated as the DCARC Club Call Sign.
ARTICLE II MEMBERSHIP - All persons interested in amateur radio communication shall be eligible for membership.
- Membership shall be by written application.
ARTICLE III OFFICERS - Elected officers of the DCARC shall be president, Vice President, Secretary, and Treasurer. These officers shall be elected at an annual meeting called for the purpose of elections. The term of office shall be one year.
- Officers will be elected by majority vote of members present at the election meeting.
- Vacancies occurring between elections must be filled by special elections at the next meeting following the occurrence of the vacancy.
ARTICLE IV DUTIES OF OFFICERS - The president shall preside at all meetings of the club and conduct same according to the rules adopted. He or She shall enforce observance of the constitution and by-laws; decide all questions of order; sign all official documents that are adopted by the club; with concurrence of the membership, appoint any needed committees; and perform all customary duties pertaining to the office of president. The president will also be designated as the Registered Agent of the Corporation.
- The vice president shall assume all the duties of the president in his absence. He or She will be responsible for scheduling the place for the monthly meeting, coordinating all public service activities, and maintaining an accurate inventory of club equipment.
- The secretary shall keep a written record of the preceedings of all meetings and an accurate inventory of all club property. The secretary will prepare all club correspondence as diected by the president. At the end of the term, the secretary will turn over all club records in his or her possession to the newly elected secretary.
- The treasurer shall be responsible for the accurate accounting of all club monies received and/or disbursed. The treasurer shall receive all monies paid to the club and shall disburse funds as authorized by the president in accordance with the By-Laws of the club. All disbursements will be by check and will require two signatures from members of the executive committee. The treasurer will maintain the official roster of all current club members and will receive dues and membership applications. The treasurer will make available a statement of income and expenses at each meeting and at other times as requested by the president. At the end of the term, the treasurer shall turn over all club financial membership records in his or her possession to the newly elected treasurer.
ARTICLE V MEETINGS - The by-laws shall provide for regular and special meetings.
- At meetings, fifteen (15) members, at least one of which must be the president or vice president, will constitute a quorum for the transaction of business.
ARTICLE VI DUES - The club by majority vote of the membership shall levy dues as deemed necessary for the business of the organization.
- Non-payment of such dues shall be cause for termination of membership from the club at the discretion of the club officers.
ARTICLE VII AMENDMENTS - Proposals for amendments shall be submitted in writing at a regular meeting and shall be voted on at the next regular meeting, provided all members have been notified by mail of intent to amend the constitution and or by-laws at said meeting.
- The constitution and by-laws may then be amended by a two-thirds vote of the membership present.
ARTICLE VIII PARLIAMENTARY PROCEDURE - The proceedings and general functioning of this club will be governed by Robert's Rules of Order, Revised.
ARTICLE IX DISSOLUTION - In the event any reason arises to dissolve the organization of the Davis County Amateur Radio Club, the existing property and funds owned by the club shall be disposed of in the following manner:
- The equipment may be offered for purchase, or transferred to an organization with similar interests by majority vote of the membership.
- Monies held in the treasury or gained by the disposal of property will be allocated to an organization with similar interests by majority vote of the membership.
BY-LAWS OF THE DAVIS COUNTY AMATEUR RADIO CLUB MEMBERSHIP - Membership is open to all persons having an interest in amateur radio communications.
- Membership shall be in one of the following categories:
- Regular membership; individual member not belonging to any other category.
- Family membership; included primary member, spouse, and all children under 18 years of age and living at home.
- Student membership; must be a full-time student under 18 years of age.
- Senior membership; must be over 65 years of age.
- Lifetime membership; available to all members by paying the lifetime membership dues.
- Applications for membership shall be submitted by each member to the club secretary using the club application form accompanied by the appropriate dues.
MEETINGS - Meetings will be held on the second Saturday of the month at 10:00 a.m. at such place, as the president shall designate.
- Special/emergency meetings may be called at the discretion of the president, providing the available membership is given 24-hour advance notice of such meetings.
DUES - Dues will be assessed for each class of membership as follows:
- Regular membership: $15.00/yr.
- Family membership: $20.00/yr.
- Student/Senior membership: $10.00/yr
- Lifetime membership: 20 times the regular dues.
- Lifetime membership dues can be spread out over four equal quarterly payments. Money collected from Lifetime membership dues will be deposited in a separate interest bearing account and will be drawn on annually to pay those members dues. The funds in this account must be maintained solely for the purpose of maintaining membership dues and paying the amount to the general club fund annually. Once Life membership is paid the membership is non-refundable and only transferable to the members spouse.
EXPENDITURES - Expenditures of less than $200.00 for administrative expenses and upkeep/maintenance of club property shall be authorized by the club officers for amounts.
- Expenditures of more than $200.00 for any purpose must be approved by a majority of the membership present at a regular meeting.
COMMITTEES - Standing committees will be appointed at the February meeting annually to be responsible for repeater operation/maintenance, public service, programs, executive, nominations and ad hoc committees as deemed appropriate by the president of the club.
- The executive committee shall consist of the officers of the club and the past president. It shall meet monthly within one week of the club meeting.
- The repeater committee shall consist of the repeater trustee and four additional members of the committee or the president of the club.
- The public service committee shall consist of the vice-president as chair and additional members as deemed necessary. It shall meet as necessary to coordinate public service events.
- The programs committee shall consist of two co-chairmen to be appointed by the president. It shall meet as required to provide programs for the membership.
- The nominations committee shall be created each October and consist of the current president, the previous two presidents and additional committee members as deemed necessary.
- Duties of ad hoc committees will be assigned by the club president.
ELECTION OF OFFICERS - Election of officers will be at an annual meeting in December of each year.
- Persons desiring election to an office on this club shall hold a current amateur radio license and be a member in good standing of the club.
- Election will be by majority vote of all current members present at the election meeting.
TRUSTEES The club will appoint three trustees - The trustee of the Davis County Amateur Club Call Sign
- The trustee of the Davis County Repeater
- Trustee At large
- Trustee appointments will remain as trustees until replaced by a recommendation of the executive board and confirmed by a majority vote of the club membership.
REPEATER - The club will operate and maintain an open repeater(s) on a coordinated frequency(s) for the purpose of emergency communications and the use of amateur radio operators.
- Funds used for the operation/maintenance of club repeater(s) will be received from:
- Specific donations and
- Transfers from the general fund as requested by the repeater committee and approved by a majority vote of the club membership.
- Autopatch codes and/or other special features of the repeater(s) will be only available to club members in good standing, except in the event of an emergency or urgent communications requirement.
APPROVED: We the undersigned club officers certify that this copy of the Constitution and By-Laws of the Davis County Amateur Radio Club were presented to the club members for approval on this the 8th day of March, 2003 and will be effective immediately. The following updates and changes were made to the Constitution & By-Laws at this time: Gender specific pronouns were changed to He or She in the Constitution ARTICLE IV DUTIES OF OFFICERS; Section 1 President, and Section 2 Vice-President. Lifetime membership information was added in the By-Laws, under membership to added paragraph 2.e. and under dues added paragraph 1.d and 3.in the By-Laws this was previously approved in March 2001. In the By-Laws in the Dues Section deleted the sentence: "$2.00 from each dues received will be applied toward the repeater fund." In the By-Laws in the Trustees Section deleted the names and call signs of trustees. |
